Terms for approved founder work.

1. Acceptance

These Terms govern your use of the soloop site, app, agents, and support channels.

By creating an account, using the product, approving an action, connecting an external account, uploading content, or paying for a plan, you agree to these Terms.

These Terms are between you and Soloop, Inc. Do not use soloop if you do not agree to them.

2. The service

soloop is a workbench for solo founders. It reads project context, proposes next steps, runs approved research, prepares approved Twitter/X work, and runs approved coding tasks in a sandbox.

The product is in beta. We may change, pause, limit, or remove features.

soloop does not guarantee users, revenue, funding, product-market fit, distribution, social reach, search ranking, uptime, deployment success, or any business result.

3. Accounts and authority

You must be at least 18 years old, or the age of majority where you live, to use soloop.

You are responsible for your account, credentials, workspace activity, connected accounts, uploaded files, and approvals made through your account.

If you use soloop for a company or another organization, you confirm that you have authority to bind that organization to these Terms.

Tell us if you believe your account, OAuth token, repo access, Stripe account, or workspace has been compromised.

4. Approval boundary

soloop is built around approval. Plan Agent may propose a TODO. External work should not run until you approve the specific action.

Approving a task is your instruction to let the relevant agent attempt that task, including research, Twitter/X actions, coding work, file handling, deployment work, or other connected-service actions available in the product.

You must review the task summary, draft, acceptance criteria, target account, target repo, files, and likely side effects before approval.

We may block, pause, or refuse a task if it looks unsafe, unlawful, spammy, abusive, or likely to put an account or service at risk.

5. AI output

soloop uses AI models. Output may be wrong, incomplete, outdated, offensive, duplicated, insecure, or unsuitable for your use case.

You are responsible for reviewing output before relying on it, publishing it, sending it, shipping it, or using it to make a decision.

AI output is not legal, financial, medical, tax, security, compliance, investment, employment, or professional advice.

Other users may receive similar or identical output. soloop does not promise that generated plans, copy, research, code, or media will be unique to you.

6. Your content and rights

Your content includes prompts, chats, project descriptions, URLs, repos, decks, files, uploads, feedback, social drafts, approved posts, code, comments, and other material you provide or approve.

You keep the rights you already have in your content. You give soloop the permission needed to run the product, show results, store project history, debug failures, and improve the service.

You confirm that you have the rights needed to upload, connect, process, publish, or deploy your content through soloop.

soloop and its licensors keep all rights in the product, interface, agent systems, software, models, design, documentation, and brand.

7. Third-party services

soloop may use third-party services such as AI model providers, Supabase, Stripe, Twitter/X, GitHub, Vercel Sandbox, Apify, email providers, and hosting providers.

When you connect, approve, or use a third-party service through soloop, that service's own terms, policies, rate limits, API limits, account rules, outages, fees, and review process may apply.

A third-party change can break, slow, limit, or stop a soloop feature. We are not responsible for third-party accounts, third-party content, third-party decisions, or external platform enforcement.

You are responsible for keeping third-party credentials, repo permissions, API keys, OAuth connections, and production secrets safe.

8. Coding sandbox

Coding Agent may read files, create patches, run commands, test code, prepare deploys, or work inside a sandbox after you approve a coding task.

Sandbox execution can fail. Generated code can contain bugs, security issues, license issues, data loss risks, deployment costs, broken dependencies, or behavior you did not expect.

You must review, test, and control code before shipping it to users or production systems. Do not upload secrets, private keys, production credentials, customer data, or regulated data unless you have confirmed that the workspace is suitable for that data.

soloop may keep logs, snapshots, task history, and execution records so the product can show results, resume work, debug failures, and keep project context.

9. Social and external actions

Social Agent currently focuses on Twitter/X: drafts, posts, replies, media, and comment monitoring when connected and approved.

You are responsible for any post, reply, message, profile change, outreach, or external action that you approve or publish through soloop.

You may not use soloop to spam, manipulate platform metrics, impersonate others, harass people, scrape where prohibited, evade limits, buy fake engagement, or violate platform rules.

External platforms can remove content, restrict accounts, reject API calls, change limits, or suspend access at any time.

10. Credits, billing, and refunds

soloop may offer free credits, paid subscriptions, usage meters, or paid plans. The Free plan includes 15 Credits each month. Included Credits reset at the next monthly grant and do not roll over. Nonexpiring Credits are kept separately.

Credits measure product usage. They are not cash, stored value, cryptocurrency, gift cards, bank deposits, or transferable property.

Paid plans are billed through Stripe. Stripe may process payment details, taxes, invoices, subscription status, and customer records under its own terms. Annual plans are charged for 12 months up front, but included Credits are granted monthly rather than as one annual lump sum.

Eligible new users may start a 7-day Builder Trial with 100 Trial Credits. A payment card is required. Unless canceled during the trial, it converts to the Builder monthly plan at $39 per month.

Unless the law requires otherwise, paid fees are non-refundable after purchase. We may issue credits or refunds for clear product errors, duplicate charges, failed billing flows, or other cases we choose to honor.

If you cancel a subscription, paid access continues until the end of your current billing period. Paid plan downgrades also take effect at the end of that period. Use the Stripe Billing Portal to cancel. Unused included Credits may expire or reset when the plan ends.

11. Acceptable use

You may not use soloop to break the law, violate rights, exploit minors, create malware, steal credentials, attack systems, bypass access controls, expose private data, or create deceptive, hateful, sexual, violent, or abusive content.

You may not reverse engineer, overload, scrape, resell, sublicense, benchmark publicly without permission, interfere with security, or use soloop to build a competing service using non-public product information.

You may not upload content that you do not have rights to use, or use soloop to publish content that infringes intellectual property, privacy, publicity, contract, or platform rights.

We may investigate misuse and may remove content, throttle usage, pause tasks, disconnect integrations, suspend accounts, or report conduct when needed.

12. Data and privacy

soloop processes account data, project data, uploaded files, chats, task records, credits, billing status, connected-account data, and execution logs to run the service.

Some data may be sent to third-party providers when needed to run models, process files, execute tasks, host projects, monitor approved social actions, handle billing, or protect the service.

Do not provide sensitive personal data, regulated data, private customer records, production credentials, or secrets unless you have authority to do so and have decided that soloop is suitable for that data.

Data deletion, export, and privacy requests should be sent through the contact channel we provide in the product.

13. Termination and suspension

You may stop using soloop at any time. Some account, billing, task, log, and backup records may remain where needed for security, legal, accounting, dispute, debugging, or product operation reasons.

We may suspend or terminate access if you violate these Terms, fail to pay, misuse integrations, harm the product, or create legal, security, or platform risk.

After termination, your right to use soloop ends, but sections that by their nature should continue will continue, including content rights, fees, disclaimers, limits of liability, and dispute terms.

14. Disclaimers and liability

soloop is provided as is and as available. We disclaim warranties to the extent allowed by law, including implied warranties of merchantability, fitness for a purpose, title, and non-infringement.

We are not liable for lost profits, lost revenue, lost data, lost goodwill, business interruption, account restrictions, social platform actions, code defects, security incidents caused by your use, third-party failures, or indirect damages to the extent allowed by law.

To the extent allowed by law, our total liability for claims related to soloop is limited to the amount you paid us for the service in the three months before the event giving rise to the claim, or 100 USD if you paid nothing.

15. Changes to these Terms

We may update these Terms when the product, laws, pricing, or integrations change.

If a change is material, we will try to notify you, such as by posting the updated Terms or giving in-product notice.

If you keep using soloop after updated Terms take effect, you accept the updated Terms.

16. Governing law and courts

These Terms and any dispute arising from them are governed by the laws of the State of Delaware, without regard to conflict-of-law rules.

The state and federal courts located in Delaware have exclusive jurisdiction and venue for disputes related to these Terms or soloop, except where applicable law gives you a non-waivable right to bring a claim elsewhere.
